  • Late on a Friday evening, CNBC carried a report that a $3.2B public company in Arkansas was the probable target of an unfriendly takeover. Saturday morning we received a call from that Company's human resources director. He asked us to begin work immediately on a plan to secure the Company's nonqualified retirement plans so that executives' benefits would be protected if there were a change of control. Within two weeks, the Company had implemented our recommendations. We worked with the Company's law firm to structure the "accelerated funding" language of the Rabbi Trust.
  • A $64.5M public company in Memphis wanted to restore benefits its top executives lost due to IRS restrictions imposed on 401(k) plans. The Company wanted these executives to be able to save up to 25 percent of their pay on a pre-tax basis. Their CPA firm referred the Company to us. We analyzed their planning options and designed a 401(k) mirror plan. We implemented this plan and then analyzed the funding options for the Rabbi Trust that securitized the executives' benefits. We placed the variable COLI (corporate owned life insurance) policies selected by the trustee of the Rabbi Trust as the funding asset. We provide ongoing administration of the plan, including the preparation of quarterly participant statements.
  • We were engaged by a $100M+ (revenue) privately held retail business to design an incentive compensation plan for its two key executives. We worked with the Company's president and CFO to define the plan's objectives: create retention incentives, protect the executives in the event of a change-of-control, and create non-competition incentives. We designed a percentage-of-profit plan and a severance protection agreement and worked with the Company's law firm to document the plans.
